ENVIRON & ADVENT Group sign Letter of Intent

ARLINGTON, VIRGINIA, Mar. 1 -/E-Wire/-- Joseph H. Highland, Ph.D., C.E.O. of ENVIRON Holdings, Inc. (ENVIRON), and Carl A. Adams, Ph.D., C.E.O. of The Advent Group (ADVENT), announced that ENVIRON and ADVENT have signed a Letter of Intent (LOI) as a precursor to an intended merger between the two firms.

ENVIRON is an international environmental and health sciences consulting firm with about 50 offices in the Americas, Europe, and Asia Pacific. ADVENT, a premier consulting and engineering organization with nine U.S. and overseas locations, specializes in Integrated Industrial Wastewater Management and related areas for a predominately industrial client base to which ENVIRON provides services, as well.

The two companies have worked together successfully for two years in a joint venture/strategic partner relationship marketed as ENVIRON WMS. Through this relationship, the firms have realized that their cultures and the highly technical and strategic nature of their services are very compatible and complementary.

Commenting on the intended merger, Adams remarked, "while we at ADVENT have been approached by many firms seeking our know-how and innovative technological expertise, ENVIRON was the only firm that had the culture, industrial client base, international presence, and diversified, private ownership structure that will serve ADVENT's employees well over time." Recent market research and surveys of Corporate EH&S; managers acknowledge the growing importance of water and wastewater management issues and challenges facing industry both in the U.S. and internationally. According to Highland, the merger of ADVENT and ENVIRON will result in a firm uniquely qualified to provide clients with a full range of engineering and technical services to address these needs and to help clients meet their business goals related to water management. "This exciting transaction is in keeping with ENVIRON's business goals of responding to marketplace demands while remaining at the high end of our industry," says Highland.
